β Review and provide summaries of legal DD reports, identifying risks and providing advice to the business.
β Carry out due diligence and provide DD summaries, including identifying risks and offering advice to the business for transactions without external advisers.
β Draft and negotiate transaction documents for smaller transactions without external advisors.
β Instruct external counsel to prepare transaction documents (APA/SPA) reflecting RIβs position.
β Negotiate transaction documents alongside the M&A team.
β Work closely with and provide guidance to Legal Counsel and M&A teams on the above.
β Provide updates and flag any issues on transactions to the General Counsel - Corporate.
β Provide strategic and structuring advice on transactions as required.
β Instruct and liaise with external counsel.
β Ensure the M&A process is followed throughout the regions.
β Advise on potential claims post-completion.
β Jurisdictions covered: Europe (including UK), Latin America, and Asia.
Roles & Responsibilities (Non M&A):
β Review of IC approval requests.
β Review of facility agreements and guarantees on an ad hoc basis as required by the Treasury Team.
β Review of PoAs and other corporate governance documentation as needed.

Requirements:
M&A experience, covering DD workstream and SPA negotiations. Mid-level PQE (minimum three years plus). In-house experience preferred.
