The Belfast Company Secretarial team (CoSec) sits within the wider Citi Legal team and was established in 2019 to support the existing CoSec team based in London. The team supports the key regulated Citi entities in the UK and provides a full range of Board and Committee governance services.

Team/Role Overview

The Company Secretarial Team operates out of offices in each of London and Belfast. In this role you will support Citi's principal UK broker Citigroup Global Markets Limited (CGML) and its UK incorporated retail bank Citibank UK Limited (CUKL). Both are regulated by the FCA and PRA. The entities are subject to heightened governance standards.

What you'll do

  • This role would suit a candidate who is seeking their first introduction to a Company Secretarial role or someone in the early stages of their Company Secretarial career. This role will involve full training in a range of tasks to support the Boards and Committees of our regulated legal entities, as well as providing legal entity management support to a broad portfolio of other controlled entities.
  • A typical day in the role will involve assisting in the organisation of Board and Committee meetings including agenda setting, meeting pack preparation, minute taking and logistics support.
  • Additionally, the role involves legal entity management tasks such as Power of Attorney maintenance, maintenance of statutory registers, delegated signatory lists and responding to KYC requests.
  • Holding of chartered or studying towards graduate status from the Chartered Governance Institute ("CGI") would be an advantage.
  • Organising meetings, liaising with all attendees, gathering and distribution of materials for presentation to the board, preparation of agendas, attendance at board meetings.
  • Circulating draft minutes and following up with the business in respect of action items to be completed.
  • Circulating Board materials as and when required within the timeframe allocated.
  • Independently respond to email queries from the business.
  • Keeping abreast of all industry developments and regulatory changes.
  • Maintaining the data integrity of all relevant databases, software and online portal facilities.
  • Oversight and maintenance of UK Legal entities signature lists including collation of specimen signatures and annual attestation.
  • To maintain and share, as requested, UK legal entities corporate data held by the department for KYC requests.
  • To participate in corporate projects, including liquidations, intra-group transfers etc.
  • General duties including but not limited to maintenance of UK structure chart, preparation of P2P payment requests, obtaining certificates of good standing from Companies House.

  • Experience working in either a professional services firm or in-house company secretarial team.
