Our Telco Partner is in search of a UK-qualified lawyer with a background in either in-house or private practice. The team is expanding and the company is seeking an experienced lawyer with expertise in compliance, corporate governance, commercial contracts, and/or corporate M&A to join their supportive in-house legal team.
KEY RESPONSIBILITIES
- The postholder will be responsible for managing corporate governance and compliance within the UK business as well as providing general commercial and corporate advice as required for business need and dependent on experience.
- The balance of work will vary according to business priorities from time to time and there will be opportunities to broaden experience to other areas of the business, which could include corporate M&A and competition work.
- The role will report to the Director of Legal within the Commercial legal team and will work alongside the UK Strategy & Regulatory team and the corporate and compliance teams in the Global Head Office.
- Significant areas of practice will include the following:
- Leading the UK workstreams on prevention of corporate crime, including anti-fraud, anti-tax-evasion and anti-bribery, providing appropriate briefings to the directors and senior management and developing and implementing controls within the UK.
- Leading the UK data privacy approach, including advising on relevant legislation; managing the record of processing activities; advising on process for data privacy impact assessments and collating information from the business, working closely with local and Group information security teams; manage and advise on personal data incidents, maintaining appropriate records; lead on management of data subject access requests; manage registrations and communications with the Information Commissioner; carry out audits of internal processes to ensure compliance with all applicable requirements.
- Leading Electronic Communications Code registration requirements with Ofcom including managing the process for annual updates and Regulation 16 approach.
- Leading the UK Telecommunications Security Act working group, providing guidance on and advising on implementation of applicable requirements, working alongside Information Security and other business teams and external industry bodies.
- Managing and developing a paralegal working on Corporate Governance & Compliance.
- Owning and updating all existing UK compliance policies, updating annually or more frequently as required.
- Building a network of external contacts in similar roles within relevant organisations to share understanding of our industry sectors.
- Managing corporate governance for the UK entities, including Delegated Authority documents and powers of attorney, with associated local procedures.
- Managing the relationship with Group Treasury and Group Tax, including ensuring appropriate updating of bank mandates and implementation of and reporting on financial controls.
EXPERIENCE
- Lawyer qualified to practise in England & Wales with 10 years + PQE.
- Able to work proactively and independently with diverse teams including at Executive Committee/ Board and Senior Management, as well as with external lawyers and advisors, escalating decisions to Head of Legal where required.
- Demonstrable knowledge of and interest in standard legal & compliance matters within a non-listed UK corporate, particularly data protection and security, and the ability to use standard resources such as Practical Law to create template documents/ approaches.
- A particular interest in data privacy and information security and willingness to develop skills further to become subject matter expert within the UK business.
- Demonstrable experience of company secretarial and corporate governance activities.
- Experience of/ interest in commercial contracts/ corporate M&A/ competition would be desirable.
