Contract Opportunity - Senior Legal Counsel (Corporate Reorganisation) £500-£650/day PAYE | Hybrid (Berkshire, 1-3 days/week) | FTSE 100 | Immediate Start Preferred
A global FTSE 100 FMCG company is undergoing a major carve-out and corporate restructuring programme, and is looking for a mid-level corporate lawyer (4-8 PQE) to take ownership of complex legal workstreams across multiple jurisdictions. This isn't M&A - the deals are done by another team. This role is about executing the legal separation, including business and asset transfers, demergers, statutory mergers, and share reorganisations, supported by top-tier external counsel.
You'll be handed a few jurisdictions (e.g. Netherlands, France, Spain) and expected to manage them through to go-live - handling documentation, guiding local legal process, and collaborating closely with CoSec, Tax and Finance.
What you'll need to succeed:
- UK-qualified (or equivalent), 4-8 years' PQE (other PQE will be considered but this is a guide to the level of work that will be carried out on a daily basis and the rate)
- 100% Essential: Proven experience with business transfers, intra-group restructures, demergers, share reorganisations
- Confidence drafting or managing PoAs, shareholder resolutions, dividend/distribution documentation
- Background in a large or complex multinational business
- Able to start within 4 weeks or less (ideally immediately)
- Happy with a hybrid model (up to 3 days in Berkshire, Elizabeth Line accessible)
