Job Overview:
Our client, a rapidly expanding fun and acquisitive business, is seeking an Interim Completion Accountant to assist with the finalisation of completion accounts following recent acquisitions. This role is essentially working for a group business, but going into a newly acquired business to assess and understand their finance team. Almost a finance audit mindset to assess whether that has been promised is actually the reality.
Key Responsibilities:
- Financial Accounting: Go into a new business and essentially do a commercial finance function audit. Look at their accounts top to bottom and assess what is there, what is true and what is missing!
- Collaboration: Work closely with internal teams, external auditors to assess and extract data and information.
- Preparation of Completion Accounts: Develop completion accounts to finalise the purchase price in line with the terms of the acquisition agreement.
- Review and Assessment: Examine the balance sheets of the acquired company, focusing on working capital, net debt, and other key financial metrics.
- Verification: Check and verify schedules and backup documentation to ensure the accuracy of financial data.
- Reconciliations: Ensure that cash, reconciliations, and other key balances are fully reviewed and properly accounted for.
- Working Capital Analysis: Review working capital to confirm it aligns with the agreed-upon terms and assess any variances or adjustments needed.
- Provision Analysis: Verify that there are no discrepancies or provisions that need to be made, ensuring all figures are accurate and in line with the final agreement.
- Dispute Resolution: Support in resolving any disputes related to the completion accounts, ensuring a fair and timely resolution.
Key Requirements:
- Professional Qualification: ACA/ACCA/CIMA qualified or equivalent professional accounting qualification. Ideally have worked in some audit / financial accounting capacity.
- Experience: Proven experience in M&A accounting, specifically in preparing completion accounts and reviewing post-acquisition financial data. Post merger type mindset.
- Technical Skills: Strong understanding of balance sheets, working capital, cash flow, and reconciliations.
- Attention to Detail: Experience in reviewing schedules, backup documentation, and identifying any variances or necessary provisions.
- Analytical Skills: Ability to analyse financial data in detail and ensure there are no discrepancies in the final accounts.
- Communication Skills: Strong communication and interpersonal skills, with the ability to work with a variety of stakeholders, including auditors and legal teams.
