The role

This role requires the skills of technical regulatory awareness (UK) combined with commercial thinking and a compliant pragmatic approach to delivering solutions. It would suit an individual at a manager level (or above) in an accountancy/audit firm or advisor to such entities, ideally with operational experience of application of Accountancy, Audit (and desirable, Insolvency) regulations. This role is a senior role, likely to appeal to individuals working in Regulation and Compliance in the Accounting/Financial Services arena or to those providing advice and guidance to the Accountancy/Audit sector.

The successful candidate would need to have strong practical knowledge and experience in the areas of AML/Investment Business/ Audit/ Practice Assurance/ Client Money Regulations. The role requires the transfer of these skills to the delivery of due diligence across compliance and risk areas in an accountancy and audit arena in support of the Group\’s acquisition strategy, surfacing risk, best practice and support on implementation strategies that ensure swift synergy with minimal impact in the post-acquisition and implementation phase of the process.

The role requires a pragmatic approach to the delivery of solutions taking into account the need for efficiency and speed, working under pressure to tight deadlines and undertaking a collaborative approach in the delivery of due diligence across the Compliance workstream and integration activity alongside BAU.

It involves working with senior stakeholders in our business and in target businesses.

Key accountabilities

Under the guidance and direction of the Group M&A Regulation and Compliance Director, the following areas of activity would be typical:

  • To surface regulatory and compliance risk in target entities by the delivery of detailed due diligence
  • To work seamlessly with external consultants and experts in the DD process
  • Support in the delivery of, an implementation plan for post-acquisition of a business into the Group
  • To add value in the continuous improvement to Firm\’s DD process in Regulation and Compliance workstream
  • To complete all required documentation and communications to the Regulators under guidance of the to effect the clearance and seamless acquisition, transition and support process for acquired entities, including ensuring all regulatory licences are in place to trade from day 1
  • To provide ad hoc Advice and Guidance re compliance and regulations to M&A team
  • To support operational implementation in order to achieve consistent Practice quality and regulatory compliance in newly acquired businesses, including drafting of guidance and communications for use in the newly acquired business.
  • To closely work with UK, Irish and Nordics Heads of Risk and Compliance and the leadership of the M&A team in the delivery of operational implementation.
  • To draft due diligence and risk reports for the Regulatory and Compliance M&A workstream, to tight deadlines
  • To operate fully with workflow management tools utilised in delivery of DD and implementation process

Skills & experience

  • Strong communication skills – to assimilate, record and then disseminate complex and often technical information into appropriate summarised format.
  • Ability to derive practical and workable solutions to identified risks generated in the above
  • Project management skills / ability to deliver to deadlines
  • Strong to Excellent awareness and practical experience in delivery/adherence to the many laws, regulations and complex compliance and ethical standards required to be met by a multi service Accountancy and Audit firm in the UK
  • Working knowledge of Insolvency Regulations advantageous but not essential.
  • Awareness of FCA requirements in financial services advantageous but not essential.
