The Director, Corporate Counsel, assists senior legal and business stakeholders at Ryan with legal matters related to mergers and acquisitions, corporate compliance, and governance. The role primarily covers Europe and Asia-Pacific regions, with potential for broader scope.

Duties and Responsibilities:

  • Draft, review, and negotiate transaction documents for M&A activities, including NDAs, LOIs, purchase agreements, and ancillary documents.
  • Manage legal due diligence, analyze reports, and advise on risks.
  • Coordinate with outside counsel during transactions.
  • Prepare closing documentation and oversee transaction closings.
  • Support integration of acquired companies, including post-closing activities and restructuring.
  • Ensure compliance with applicable corporate and securities laws.
  • Advise on corporate governance and organizational structure.
  • Manage entity formation, reporting, and maintenance for corporate entities.
  • Monitor adherence to corporate formalities and operations.

Education/Experience:
