We are currently recruiting an exciting opportunity in our Company Secretarial team to join on a 12-month fixed-term basis. Working as part of a team, you will be providing full company secretarial support to the UK and Isle of Man companies within the IntegraFin Group. The role will be very varied with exposure to listed company compliance, corporate governance, board support, shareholder and registrar dealings and insurance.
Your responsibilities will include:
- Maintaining and ensuring the accuracy of company records and registers;
- Diarising, preparing and filing required statutory filings;
- Preparing and circulating notices of AGMs, GMs and board and committee meetings;
- Preparing and arranging board and committee meetings;
- Preparing and circulating meeting packs;
- Circulating actions and tracking responses;
- Preparing accurate minutes of meetings in a timely manner;
- Ensuring that adequate and relevant information is given to the holding company by all the subsidiary companies and that all escalation points are observed;
- Coordinating the preparation and submission of company accounts to the relevant boards and committees for review and approval;
- Managing the dividend settlement process;
- Drafting and filing RNS announcements;
- Responding to queries from the Group's shareholders and liaising with the Group's registrars;
- Assisting with the management of the Group share plan arrangements and liaising with external plan providers;
- Reviewing developments in the corporate governance requirements of all territories within which the Group operates.
The ideal candidate will be studying towards the ICSA qualification or fully qualified with varied experience within a Company Secretarial Assistant role, preferably within the financial services sector. Ideally you will have practical knowledge and an understanding and application of the UK legal and regulatory environment as it relates to the financial services industry. An understanding of the FCA handbook is also desirable but not essential as well as Life Assurance experience.
Good communication skills, both written and verbal, are also essential and you must be able to work/think pro-actively and be able to demonstrate that you are a self-starter with strong stakeholder management skills.
