What you’ll be doing: Reporting to the Head of Corporate Governance, the Corporate Governance Assistant will play a key role in the corporate governance and general administration of the entities within the People’s Partnership Group. The role will encompass a broad remit, including committee and board support and regulatory and statutory compliance work.
- Preparing and maintaining Board and Committee calendars, seeking and monitoring director availability for meetings, as necessary.
- Managing the preparation, collation and distribution of agendas and papers.
- Creating, collating and distributing Board packs.
- Taking minutes and following up action points.
- Preparing research and first draft briefing materials on changes to the governance and regulatory landscape.
- Maintaining the statutory registers of entities within the Group, including the Register of Members, Directors etc.
- Ensuring compliance with annual filing requirements, including the filing of statutory accounts at Companies House and the online filing of Confirmation Statements.
- Preparing and filing necessary documents for event driven changes including change of officers, change of name, change of registered office, change of accounting reference dates, etc.
- Supporting corporate transactions as and when required, including drafting Board resolutions.
- Assisting with Supervisory and other Regulatory Returns.
What we’re looking for:
- 1-2 years working in a UK corporate legal or secretarial function.
- Good knowledge of the UK Companies Act, corporate legislation, corporate governance codes and best practice.
- Experience of taking minutes and the ability to identify and record the salient points of discussion.
- Strong IT skills.
