Nottingham Building Society is looking for a Deputy Company Secretary to play a key role in supporting the General Counsel & Society Secretary, the Board of Directors, and the Executive Committee. This is a fantastic opportunity to contribute to the success of a well-established financial institution by ensuring robust corporate governance and delivering a comprehensive secretariat function to the Society.

Supporting the General Counsel & Society Secretary you will be responsible for:

  • Facilitating the smooth operation of the Board and its committees.
  • Maintaining statutory records and ensuring compliance with relevant legislation and regulations.
  • Timely and accurate preparation of Board and Committee documents at Level 1 (Board) and Level 2 (Exec) Committees.
  • Maintaining and updating statutory registers, including directors' details, the membership register, and minutes of meetings.
  • Filing statutory returns and documents with regulatory bodies in a timely manner, including at the FCA and PRA.
  • Actioning all items from board and committee meetings ensuring they are tracked and completed within agreed timelines.
  • Providing regular updates on the status of action items to relevant stakeholders.
  • Supporting in Annual General Meeting (AGM) preparation and execution; ensuring the AGM is conducted smoothly, with all legal and procedural requirements met.
  • Providing support in the year-end process, in terms of annual report and accounts and liaising with external auditors.
  • Enhancing Corporate Governance Practices by ensuring the Society adheres to best practices in corporate governance.
  • Conducting research on governance best practices and providing recommendations for improvement.
  • Ensuring compliance with Board and Committee procedures, Terms of Reference, Delegated Authorities and management of the Policy Register.
  • Serving as a point of contact for board members and senior management on governance-related matters.
  • Overseeing the management of the Society’s corporate insurances including negotiating the annual renewal.

About you:

  • Experience performing a company secretarial role in a financial services business or similar.
  • Excellent knowledge of corporate governance matters and the ability to demonstrate a commercial frame of mind.
  • Good knowledge of the legislative and regulatory requirements within which businesses such as Nottingham Building Society are required to operate, including the Building Societies Act.
  • Ability to work with senior individuals, both at Executive and Board level.
  • Ability to produce accurate, coherent and detailed minutes and drafts within agreed timeframes.
  • Curious and pro-active taking full accountability and ownership within your role.
  • Law Degree or Membership of the Institute of Chartered Secretaries and Administrators or working towards becoming a member through the ICSA exams.
