Morgan Hunt are currently working with a Charity, in their search for an interim Company Secretary. This role will be reporting directly to the Board of Trustees under the Risk and Assurance directorate.

As a Company Secretary you will have responsibility for overseeing the charity's governance arrangements, including the efficient and effective operation of the Board of Trustees, Board Committees and Executive leadership teams. This post is responsible for ensuring that the work of the Society is properly governed, working to proactively drive the agendas of the Executive Team, Board of Trustees and Committees. Making sure that the key decisions are supported with the right information, at the right time to support delivery of our strategy.

You will be a Qualified Company Secretary with experience in charity governance and extensive governance experience at a senior management level. You should demonstrate sound decision-making taking personal accountability for risks and decisions, as well as having proven leadership skills with the ability to inspire and motivate teams. Strong leadership and team management capabilities, providing the environment and support to enable others to reach their potential.

Key Responsibilities

  • Act as Company Secretary for the Board of Trustees and the Society's subsidiary companies.
  • Guide the chair and the board on their legal and regulatory responsibilities as well as supporting the chair to ensure the board functions effectively and efficiently.
  • Monitor changes in relevant legislation and the regulatory environment and take action accordingly.
  • Ensure that the organisations governance systems operate in line with best practice and we meet legal and regulatory obligations.
  • Develop a governance framework and processes aligned to the Society's strategy and performance to ensure that the right topics are being addressed at the right time and in the right place.
  • Support the development of Society and departmental strategies, identifying and addressing legal risks and opportunities.
  • Manage a team of governance professionals, providing guidance, support, and professional development opportunities.
  • Establish relationships with key stakeholders to gain a thorough understanding of the Society's strategic objectives, operations, risks and governance structure.

Personal Specification

  • Qualified Company Secretary with experience in charity governance.
  • Extensive governance experience at a senior management level.
  • Demonstrates sound decision-making taking personal accountability for risks and decisions within their function and remit.
  • Knowledge of a broad range of relevant legal subjects with experience of charity law.
  • Proven leadership skills with the ability to inspire and motivate teams.
  • Strong leadership and team management capabilities, providing the environment and support to enable others to reach their potential.
  • Ability to develop effective working relationships as a trusted expert at all levels, to connect with and influence colleagues including senior leadership teams.
