About the Role:
Fantastic new Assistant Company Secretary role in a market-leading Crypto Fintech.
Key Responsibilities:
- Responsible for the filing of legal and regulatory documents, including annual reports and financial statements and any other Companies House filings in the UK.
- Informing Companies House of any significant changes in the UK companies’ structure or management.
- Reviewing and filing Dormant Accounts.
- Support the group committees in fulfilling their responsibilities and following best practices.
- Organise board meetings, produce meeting agendas, and materials and take minutes of applicable Board and Committee meetings.
- Ensuring that board members are presented with high-quality, up-to-date information in advance of meetings.
- Ensure that the board\’s decisions are properly communicated and implemented.
- Ensuring good information flows within the boards and their committees and between senior management and non-executive directors.
- Ensuring the company complies with legal and regulatory requirements and follows best practices.
- Helping to develop corporate governance policies and procedures.
- Monitoring offshore subsidiaries\’ local governance administration and liaising with relevant teams to ensure central records are up to date.
- Assisting with new business projects.
Key Skills and Experience Required:
- Law Degree or similar qualification.
- Hold, or currently studying for, ICSA qualification would be advantageous.
- At least 4 years of relevant company secretarial experience.
- Solid experience within the financial services and heavily regulated environment.
- Demonstrated experience coordinating and supporting multiple entities with corporate governance administration and advice.
- In-depth company secretarial technical knowledge and experience.
- Strong organisational and minute-taking skills.
- Ability to effectively coordinate a board of directors and committees.
