Supporting the business’ West Yorkshire-based Head of Legal and Global Compliance Officer, this role offers an excellent opportunity to develop a career in corporate governance within a major international company.
This US-headquartered company is a global leader in the distribution of infrastructure products, operating from 16 countries and over 200 locations worldwide. With multi-billion-pound global sales and an unmatched geographic presence, this is an exciting and dynamic organisation to be a part of.
This role will see you play a key part in supporting the business’ governance and compliance functions, undertaking vital administrative tasks to help ensure that corporate governance responsibilities are met. The successful candidate will report into the business’ Head of Legal – International and Global Compliance Officer and will have an international remit, save for corporate governance work relating to the US, which is handled by the US legal team.
Your day-to-day responsibilities will include:
- Assisting with board and committee administration, including preparing agendas and collating board packs
- Preparing board and shareholder minutes, resolutions and making filings
- Instructing counsel
- Maintaining statutory registers and ensuring timely filings with regulatory bodies
- Supporting corporate secretarial duties across multiple jurisdictions
- Assisting with internal governance processes and policy reviews
- Conducting legal research on corporate governance matters
- Administer Diligent software for the international region
- Liaising with internal stakeholders globally, particularly in legal, finance and tax functions
- Managing KYC requests
- Broader corporate and compliance tasks when required
At times, you may also be required to support the team with other ad-hoc administrative duties. You will have regular interaction with senior leaders across the business and will gain valuable hands-on experience of working within an international corporate environment. The role may involve some international travel on an infrequent basis.
The Ideal Candidate
We are looking for a detail-oriented and proactive individual with strong organisational skills, an appreciation of the need for accuracy, and a keen interest in corporate governance. Ideally, you will have at least 12 months’ experience in a company secretarial, legal, or compliance-related role. Some international experience would be helpful but is not essential. Whilst the business is listed, candidates do not need to have listed experience to be eligible for this role.
