Corporate Finance Lawyer

Location: London Victoria (hybrid model, minimum 3 days in office).

Nord Anglia Education is looking to recruit a Corporate Finance Lawyer to join Nord Anglia Education, in the Legal team based in our London Victoria HQ.

This opportunity is a 3-month FTC.

We are looking for someone to provide legal strategic M&A/Corporate Finance/project support to Group Legal across Nord Anglia Education.

The role:

We seek an individual to join as a Corporate Finance Lawyer where your focus will be:

  • Assist in drafting, reviewing, and negotiating transaction documents (e.g., sale and purchase agreements, disclosure letters, and ancillary agreements and documentation) in connection with closing and post-closing of strategic M&A, financing and equity capital market processes.
  • Help to manage due diligence exercises, including coordinating with internal teams and external advisors to gather and analyse relevant information.
  • Provide legal support to Chief Legal Officer, Head of Corporate & Commercial and senior project leads on various aspects of strategic corporate finance projects, including corporate governance, regulatory compliance, and shareholder matters.
  • Advise on legal risks and mitigate potential issues through clear and practical advice and communication.
  • Monitor and ensure compliance with relevant laws and regulations, including securities law, corporate governance standards, and any industry-specific rules that may apply.
  • Collaborate effectively with other departments, including finance, tax, investor relations, and operations, to ensure the smooth execution of the transactions.
  • Support in closing and post-closing matters connected with relevant corporate projects, ensuring all legal formalities are met and necessary approvals are obtained.
  • Assist, in liaison with external counsel, in the preparation and coordination of closing documents and ensure timely completion of all tasks.

The Successful Candidate will possess:

  • Degree in law
  • Training in an international or well-regarded national firm
  • Microsoft Excel, Word, Outlook and PowerPoint
  • High level of planning, prioritisation and organisational skills
  • Willing to help and be flexible
  • The ability to work accurately and meet tight deadlines
  • The ability to work on own initiative, solving problems as necessary
  • Excellent interpersonal skills with the ability to communicate effectively at all levels
  • Excellent communication skills both written and verbal
